Agreement to Terms

By accessing or using SimpleSignup ("simplesignup.app"), operated by Redstone Foundry LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use and our Privacy Policy (collectively, the "Agreement"). If you do not agree to any part of this Agreement, do not use our service.

Description of Service

SimpleSignup is an event sign-up platform that allows organizers to create events with open slots, share a link, and let people sign up instantly. Organizers create and manage events through authenticated accounts. Attendees sign up for event slots using their name and email without needing an account.

User Accounts and Eligibility

Event Organizers

To create and manage events on SimpleSignup, you must:

  • Create an account with a valid email address
  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • Provide accurate and complete information
  • Maintain the security of your account credentials

You are responsible for all activity that occurs under your organizer account, including events you create, settings you configure, and the management of attendee data.

Event Attendees

No account is required to sign up for an event slot. Attendees provide their name and email address to sign up. By signing up for an event, you agree to these Terms. Your email is used as your identifier for receiving confirmations, manage links, and event-related notifications.

Minors:If you are under 18, you must have the consent of a parent or legal guardian to use SimpleSignup. Parents and guardians who permit a minor to use the service are fully responsible for the minor's conduct.

Event Creation and Management

When you create an event, you become its organizer. Organizers are responsible for:

  • Providing accurate event details (title, date, time, location)
  • Configuring appropriate slot labels and capacities
  • Managing attendee signups responsibly
  • Ensuring event content complies with these Terms and all applicable laws
  • Handling attendee data in accordance with applicable privacy laws

Organizers have access to attendee information (name, email, and any optional data collected) and are responsible for using this information only for the purpose of managing their event.

User Conduct

You agree not to use SimpleSignup to:

  • Violate any applicable laws or regulations
  • Create events for illegal purposes or to facilitate illegal activity
  • Collect personal information from attendees for purposes unrelated to the event, including unsolicited marketing, spam, or sale of personal data
  • Harass, abuse, threaten, or harm other users or any person
  • Impersonate another person or entity
  • Sign up for event slots using false information, fake email addresses, or with the intent to occupy slots you do not intend to use
  • Attempt to circumvent usage limits, security measures, or access controls
  • Reverse-engineer, scrape, or misuse the platform or its infrastructure
  • Distribute spam, malware, or unwanted communications
  • Use the platform in any way that could damage, disable, or impair the service

Prohibited Events

The following types of events are strictly prohibited on SimpleSignup:

  • Events that facilitate or promote illegal activity, including fraud, drug trafficking, or human trafficking
  • Events designed to collect personal information for phishing, scams, or identity theft
  • Events that promote violence, terrorism, extremism, or hatred against any group
  • Events involving or targeting the exploitation of minors in any way
  • Events that infringe on the intellectual property or privacy rights of third parties
  • Events used to distribute harmful, obscene, or illegal content

This list is not exhaustive. We reserve the right to determine, at our sole discretion, whether any event or use of the service constitutes a violation.

Email Communications

By using SimpleSignup (whether as an organizer or attendee), you acknowledge that the service sends transactional emails necessary for its operation. These include signup confirmations, manage links, email verification messages, and organizer notifications. These are not marketing emails and cannot be opted out of while using the service.

Signup Tokens and Security

Each signup generates a unique cryptographic token that allows the attendee to manage their signup (edit, cancel, or confirm) without needing an account or password. These tokens are delivered via email and should be treated like a password. You are responsible for keeping your manage links secure. We are not liable for unauthorized actions taken by someone who obtains your manage link.

Content and Intellectual Property

You retain ownership of the content you submit to SimpleSignup (event details, slot labels, comments, etc.). By using the service, you grant SimpleSignup a limited license to store and display your content solely for the purpose of providing the service and enforcing these Terms.

The SimpleSignup name, logo, and platform design are the property of Redstone Foundry LLC. You may not use our trademarks without prior written consent.

Monitoring, Enforcement, and Reporting

To protect the safety and integrity of the platform, its users, and the public, we reserve the right to take any of the following actions at our sole discretion:

  • Monitor and review events, signups, and usage patterns as reasonably necessary to detect and prevent violations of these Terms, abuse, fraud, or illegal activity
  • Remove events or content that violate these Terms or that we reasonably believe pose a safety, legal, or security risk
  • Rate-limit, restrict features, or block abusive or suspicious usage patterns
  • Suspend or terminate accounts, including without prior notice in cases of urgent risk, serious violations, or suspected illegal activity
  • Preserve logs and evidence related to suspected violations, abuse, or illegal activity for as long as reasonably necessary
  • Cooperate with law enforcement and respond to valid legal process, including subpoenas, court orders, and government requests
  • Report suspected illegal activity to appropriate authorities, including law enforcement agencies and other relevant organizations

We are not obligated to monitor all content, but we may do so at our discretion. The absence of enforcement in a particular case does not constitute a waiver of our right to enforce these Terms in other cases.

Data Handling by Organizers

Event organizers receive access to attendee personal information (name, email, and any optional fields collected). Organizers agree to:

  • Use attendee data only for the purpose of managing their event
  • Not sell, share, or distribute attendee personal information to third parties
  • Not use attendee email addresses for unsolicited marketing or spam
  • Comply with all applicable data protection and privacy laws (including GDPR and CCPA where applicable)
  • Delete or anonymize attendee data when it is no longer needed for the event's purpose

Violation of these obligations may result in immediate account termination.

Privacy

Your use of SimpleSignup is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Disclaimers

SimpleSignup is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

We do not guarantee that event signups will be processed without error, that slots will not be overbooked due to concurrent access, or that email notifications will be delivered successfully. Organizers are responsible for verifying their attendee lists independently.

We are not responsible for the conduct of event organizers, the accuracy of event information, the safety of events listed on the platform, or any interactions between organizers and attendees that occur outside of the SimpleSignup platform.

Limitation of Liability

To the maximum extent permitted by law, Redstone Foundry LLC and SimpleSignup shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, goodwill, business opportunities, or any damages arising from event cancellations, no-shows, overbookings, missed signups, or reliance on information provided through the platform, arising out of or related to your use of the service.

Our total aggregate liability for any claims related to the service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).

Indemnification

You agree to indemnify and hold harmless Redstone Foundry LLC, SimpleSignup, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) events you create or signups you make; (d) your handling of attendee personal data; (e) your violation of any third-party rights; or (f) your violation of any applicable law or regulation.

Termination

We reserve the right to suspend or terminate your organizer account at our discretion, including where we suspect abuse, fraud, safety risk, legal exposure, or violation of these Terms. In cases of serious or urgent risk, we may suspend or terminate access without prior notice. You may delete your account at any time. Upon termination, your events and associated signup data will be deleted, except that we may retain data as necessary to comply with legal obligations, resolve disputes, or enforce these Terms.

Export Controls and Sanctions

You represent and warrant that you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. trade sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not a person or entity on the U.S. Treasury Department's Specially Designated Nationals list, the U.S. Commerce Department's Entity List, or any other applicable restricted-party list.

Changes to Terms

We may update these Terms of Use from time to time. We will notify registered organizers of material changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the new terms.

Dispute Resolution

Any disputes arising from these terms shall be governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. You agree to first attempt informal resolution by contacting us before pursuing formal legal action.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Redstone Foundry LLC regarding your use of SimpleSignup. They supersede all prior agreements, representations, and understandings.
